1. Introduction and Acceptance

Welcome to ChainReach, a Web3-native platform that connects brands with creators through smart contract-powered vaults, campaign management, deliverable validation, and analytics tools. These Terms of Service (“Terms”) govern your use of our platform, services, and any related applications (collectively, the “Service”).

By accessing or using ChainReach, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

2. Platform Overview

ChainReach is a creator economy platform that enables:

  • Brand–creator collaborations through smart contract vaults on BNB Chain
  • Campaign creation, invitations, public campaign discovery, and submission workflows
  • Multiple payment models (fixed allocation, CPM / view-based payouts, and affiliate / Shopify commission)
  • Automated and manual deliverable validation, payment requests, and escrow payouts in USDC
  • Brand dashboards, creator insights, calendars, and performance analytics
  • Optional AI-assisted campaign generation and in-app AI assistance (subject to plan limits)
  • Subscription billing for certain brand AI and premium features

3. User Types and Responsibilities

Creators

  • Must provide accurate profile information and linked social media handles
  • Must connect a compatible wallet address to receive escrow payouts
  • Responsible for delivering agreed-upon content within campaign timeframes
  • Must submit valid content links and cooperate with automated or manual validation
  • Must maintain authentic audiences; anti-bot and fraud measures may apply
  • May browse invited or public campaigns, accept invitations, and track submissions and earnings

Brands

  • Must provide accurate company and account information
  • Responsible for funding vaults, defining deliverables, and selecting payment models
  • May create campaigns, invite creators, and manage public or invite-only campaigns
  • Responsible for reviewing payment requests and approving or rejecting payouts when required
  • May use dashboards, creator insights, calendars, and vault payment tools for campaign operations
  • Subject to transaction monitoring for high-value activity as described in these Terms

Agencies

  • Can manage creator rosters and multi-campaign oversight where enabled
  • Must maintain proper permissions and access controls
  • Responsible for compliance with all platform policies

4. Campaigns, Invitations, and Marketplace

Brands may create campaigns (vaults) with briefs, deliverables, platforms, budgets, schedules, and payment terms. Creators may join via invitation links or, where enabled, public campaign discovery.

  • Invitations: Brands may invite registered creators or discoverable creators using invitation tokens or public invite links. Accepting an invite may create binding campaign participation terms for that campaign.
  • Campaign terms: Individual campaign briefs, deliverables, deadlines, and payout rules control the specific collaboration. Where campaign terms conflict with these Terms, these Terms control except as expressly stated in the campaign.
  • Public campaigns: Listing a campaign publicly does not guarantee creator interest, quality, or completion.
  • Deletion and closure: Campaigns and vaults may be closed, refunded, or deleted only when platform eligibility rules and smart contract conditions are met.

5. Payment Models

Brands may configure one or more of the following payout models for a campaign:

  • Custom / fixed allocation: Predefined payout amounts for agreed deliverables, subject to validation and brand approval where required.
  • CPM / view-based: Payouts calculated from verified view or engagement metrics, tiers, and caps configured in the campaign. Metrics are derived from platform validation tools and may differ from third-party analytics.
  • Affiliate / Shopify commission: Where enabled, brands may connect a Shopify store and configure commission structures and optional product gifts tied to invitations or performance. Order, store, and commission data from the connected store may be used to calculate and reconcile payouts.

Final payable amounts are determined by campaign configuration, validated performance data, brand decisions (approve/reject), and escrow availability. Disputes over calculation or eligibility should be raised through the platform support process before seeking external remedies.

6. Vault System, Escrow, and Smart Contracts

ChainReach uses smart contracts on BNB Chain to escrow campaign funds in USDC and to execute creator payouts and brand refunds. Key aspects include:

  • Vault lifecycle: Campaigns move through draft, funded/locked, verification, paid, refunded, and/or disputed states as applicable.
  • Brand deposits: Brands fund vaults from connected wallets. Deposited funds are locked for the campaign until released as payouts or refunds.
  • Escrow payouts: Approved payment requests may trigger USDC transfers from escrow to the creator's linked wallet, with transaction records and hashes stored for auditability.
  • Refunds: Unused or ineligible funds may be refunded to the brand wallet upon campaign expiry, closure, failed verification, or reconciliation, subject to smart contract and platform rules.
  • Ledger & history: Vault balances, payment requests, invoices, and transaction statuses (paid, pending, failed, refunded) are available in brand and creator payment views.

Important: Smart contracts are immutable once deployed. While we conduct testing and security reviews, users assume responsibility for understanding blockchain transactions, gas fees, wallet security, and irreversible on-chain transfers.

7. Submissions, Validation, and Payment Requests

Creators submit deliverable links for campaign requirements. Submissions may be evaluated through:

  • Automated validation: Third-party tools may fetch publicly available post data (for example, metrics, posting time, hashtags, mentions, and related deliverable checks) to assess compliance.
  • Manual review: Brands may approve, reject, or override outcomes for payment requests.
  • Payment requests: Validated or pending submissions may generate payment requests that brands can approve or reject individually or in bulk.

Validation results are tools to assist decision-making and are not guarantees of accuracy. Brands and creators remain responsible for ensuring campaign compliance, content legality, and platform-specific terms of the underlying social networks.

8. Financial Terms and Billing

Campaign Payments (Escrow)

Campaign funding and creator payouts are processed in USDC on BNB Chain through vault escrow smart contracts. Users must maintain compatible wallets and sufficient balances for deposits, gas, and related network fees.

Subscription Billing (Brand Plans)

Certain brand features (including AI campaign tools and usage entitlements) may require a paid subscription processed through our payment processor (for example, Stripe). Plan tiers, renewals, cancellations, and usage limits are disclosed at checkout or in account billing settings.

Compliance and Monitoring

  • Enhanced verification may apply to high-value activity
  • Transactions over material thresholds may be flagged for review
  • AML monitoring may apply to financial activity on the Service
  • Audit logs are maintained for vault and payment activity

Fees and Charges

Platform fees, network (gas) costs, subscription charges, and applicable taxes will be disclosed before confirmation where practicable. Users are responsible for all associated costs and for any tax obligations arising from their use of the Service.

9. Dashboards, Insights, and Analytics

Brands and creators may access dashboards and analytics derived from campaign, submission, vault, and profile data, including:

  • Campaign health, payout status, ROI, and related operational metrics
  • Creator insights such as niche/genre mix, engagement signals, and audience summaries
  • Earnings, pending balances, and transaction history for creators
  • Calendar views based on campaign schedules and deadlines

Analytics are provided for informational purposes and may be incomplete, delayed, or approximate. They do not constitute financial, legal, or investment advice.

10. AI Features

Where enabled, ChainReach may offer AI-assisted campaign generation, playbooks, and an in-app assistant. By using these features you acknowledge that:

  • Prompts and generated outputs may be processed by third-party AI providers
  • Outputs can be inaccurate, incomplete, or unsuitable; you must review before use
  • Usage may be limited by subscription plan or rate limits
  • You remain solely responsible for campaign content, legal compliance, and payouts

11. Content Verification and Intellectual Property

Our verification systems and brand reviews may assess:

  • Post authenticity, posting windows, and required mentions or hashtags
  • Deliverable completeness against campaign requirements
  • Engagement and view metrics used for CPM or performance payouts
  • Signals related to bot activity or inauthentic audiences

Intellectual Property: Creators retain ownership of their content while granting brands the usage rights specified in individual campaign terms. Brands retain ownership of their campaign briefs, trademarks, and materials. You grant ChainReach a limited license to host, display, and process content as needed to operate the Service.

12. Third-Party Services and Integrations

The Service may integrate with third parties, including social platforms used for content delivery, Shopify for affiliate campaigns, payment processors for subscriptions, content-validation providers, AI providers, and blockchain networks. Your use of those services is also subject to their terms and privacy policies. ChainReach is not responsible for third-party outages, data accuracy, or policy changes.

13. Prohibited Activities

The following activities are strictly prohibited:

  • Creating fake accounts or using bot followers
  • Submitting fraudulent, recycled, or misleading deliverables
  • Attempting to manipulate validation, metrics, or payment systems
  • Misusing AI features to generate deceptive or infringing campaign materials
  • Abusing invitations, scraped discovery data, or public campaign listings
  • Violating social platform terms or applicable laws
  • Engaging in money laundering or illegal financial activities
  • Attempting to hack, disrupt, or reverse-engineer the platform or smart contracts
  • Creating multiple accounts to circumvent restrictions or fees

14. Risk Disclosure and Disclaimers

Blockchain and Cryptocurrency Risks

  • Cryptocurrency values are volatile and can fluctuate significantly
  • Blockchain transactions are irreversible once confirmed
  • Smart contract bugs or exploits could result in loss of funds
  • Network congestion may affect transaction processing times
  • Regulatory changes may impact platform operations

Platform Disclaimers

ChainReach provides the platform as-is without warranties. We do not guarantee campaign success, validation accuracy, analytics correctness, AI output quality, third-party uptime, or continuous availability. Users participate at their own risk.

15. Privacy and Data Protection

We collect and process personal and business data in accordance with our Privacy Policy. This includes account data, wallet addresses, campaign and submission data, validation results, vault transactions, analytics, AI prompts/outputs, and integration data (such as Shopify store information where connected). 16. Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms. Upon termination:

  • Active vaults will be processed according to their current status and smart contract rules
  • Outstanding payment requests will be resolved per escrow and campaign terms
  • Subscriptions may be cancelled according to billing provider rules
  • Account data may be retained for compliance and audit purposes
  • Users may appeal termination decisions through our support system

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of United States of America. Disputes will be resolved through binding arbitration, except for intellectual property disputes which may be brought in court.

18. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the platform and email notifications. Continued use of the Service after changes constitutes acceptance of the new Terms.
